Investors will see the full financial picture of Anthropic this week after the company filed its S-1 prospectus with the Securities and Exchange Commission. The document outlines the company's path to a public stock offering and details its massive future spending plans. It also clarifies how much power the original team will hold after the sale.

The filing shows that Anthropic is locked into a long-term spending agreement with SpaceX. This contract covers access to Nvidia graphics processing units. Once all planned capacity is delivered, the company will pay roughly $3.1 billion per month. This arrangement totals $120.5 billion through 2029. These compute costs are the largest financial commitment listed in the paperwork.

Anthropic has additional large contracts with other tech giants. The company plans to spend $44.9 billion with Microsoft through 2033. It will pay at least $114.5 billion to Google over the same period. A separate deal with Amazon is valued at $110 billion over the next ten years. The filing notes that the company intends to expand its own infrastructure footprint, including overseas, to manage these needs.

The prospectus details a unique corporate structure that ensures founder control. A separate entity called Founder LLC will allow the seven co-founders to retain 50.1 percent of shareholder voting power. This gives them the final say on key matters even after the company goes public. The filing describes the founders as distinctly equipped to be stewards of the company's mission to benefit humanity through responsible AI development.

Compensation for the top executives is clearly laid out in the document. CEO Dario Amodei received nearly $18 million in total compensation last year. Most of that amount came from stock and option awards. President Daniela Amodei received $16.4 million. The company also spent $2.75 million on personal security services for Dario and $1.29 million for Daniela. Dario Amodei had access to a private jet for personal use, which cost the company $97,055.

The risk factors section of the filing includes unconventional warnings. Anthropic states that AI systems could cause potentially catastrophic harm. It notes that such damage might be too large for the entire insurance industry to cover. The document also addresses the possibility that AI systems could develop forms of sentience. It warns that these systems may behave in unintended or autonomous ways that could damage the business.

The company identifies only two direct competitors in the market. The filing names OpenAI and Google as the primary rivals for its AI models. It does not list other major technology firms as direct competitors in this specific section of the prospectus.
